Introduction: Articles Are Not a Fill-in-the-Blank Form
Many founders download a template, change the company name, fill in registered capital and submit it. Only when shareholders disagree, someone wants out, or the company needs fresh capital do they discover the articles offer no usable rules. The Private Economy Promotion Law, effective 20 May 2025, affirms equal treatment, fair competition and property rights protection, giving private firms a stronger external environment. But the more robust the external rule of law, the more internal governance must be written down. The articles are the foundational agreement among shareholders. Four clauses are most frequently overlooked.
Clause One: Can Voting Rights Diverge from Capital Contributions?
The default rule is that voting rights follow capital contributions, but the articles may provide otherwise. In early-stage startups, the largest contributor is not always the full-time operator, while the person running the business may hold a smaller stake. Without an explicit arrangement, major decisions can be blocked by a capital majority.Specify which matters are decided per capita, which by contribution ratio, and whether voting rights and dividend rights may be separated. This is not distrust; it aligns contribution with rights.
Clause Two: Spell Out Dividends and Capital Increases
Many articles simply say dividends follow capital contributions, without addressing when, on what basis, or what happens during losses. Capital increases raise similar questions: who holds preemptive subscription rights, how the price is set, and whether non-participants get diluted. In practice, pricing ties to valuation, and without clear rules disputes arise between existing and new investors.Write dividend conditions, preemptive rights and dilution formulas into the articles; it is far cheaper than negotiating later. Keep them consistent with the shareholders' agreement to avoid conflicting documents.
Clause Three: Put Exit and Deadlock Mechanisms First
The topic founders least want to discuss is breakup, yet it most needs early drafting. The articles should address how shares are handled when a shareholder leaves, becomes incapacitated or materially breaches obligations; whether buyback is priced at net assets, the latest financing valuation or a formula; and whether other shareholders have a right of first refusal. For 50-50 structures, add deadlock breakers such as third-party mediation, alternating decision rights or agreed dissolution triggers.Set the rules while relations are good, so enforcement later does not damage them.
Conclusion: Pay Governance Costs Upfront
The Private Economy Promotion Law underscores legal protection of private economic organizations and their operators, offering stable expectations. But the law protects rights that are clearly documented, not verbal understandings. These four clauses may look mundane, yet they underpin control, economic rights and exit. Half a day spent refining the articles before registration can save months of dispute later. Qiting Industrial will continue to follow governance and compliance practices for private enterprises.
